ASSOCIATION FOR UNMANNED VEHICLE SYSTEMS

LINDBERGH CHAPTER

ARTICLE I - OFFICERS

SECTION 1. The President - The President shall exercise the power and perform the duties assigned to him or her by the Chapter Constitution and By-Laws and be the Chief Executive Officer of the Chapter. The President shall have full powers to enforce the provisions of the Constitution, By-Laws and the will of the Lindbergh Chapter and its membership. The President shall appoint committees, officers and directors who have vacated their position and shall perform such other duties as are usually incident to the office. The President shall also be a member of the Board of Directors.

SECTION II. The Vice-President - The Vice-President shall perform such duties as assigned to his or her by the President or by the Board of Directors of the Chapter within the terms of the Constitution and By-Laws and shall perform such duties as are usually incident to the office. The Vice-President shall become President, if for any reason the office is vacated between yearly elections and ha or she shall discharge the duties of the President, whenever, in the discretion of the Board of Directors, the disability or absence of the President makes such service advisable. The Vice-President shall be a member of the Board of Directors.

SECTION 111. The Secretary - The Secretary shall keep a record of the proceedings of all meetings of the Chapter Board of Directors and of all other matters of which a record shall be ordered by the Board of Directors. The Secretary shall issue notices of all special meetings. The Secretary shall maintain a current chapter membership roll and maintain the files and records of the Chapter. In addition, the Secretary shall perform such other duties as may from time to ti be assigned by the Constitution and By-Laws of the Chapter and by the Board of Directors,. as are usually incident to the office. The Secretary shall be a member of the Board of Directors.

SECTION IV. The Treasurer - The Treasurer shall collect and disburse all Chapter funds and be the custodian of such funds. The Treasurer shall keep regular accounts to books belonging to the Chapter and shall be open for inspection to any member of the Board of Directors. The Treasurer shall make reports on the financial condition of the Treasury at each regular meeting ,of the Board of Directors, at the end of the fiscal year and at such times as shall be requested by the President or Board of Directors, The Treasurer shall be a member of the Board of Directors.

SECTION V. Honorary Board Members - The Honorary non-voting Board Members shall be notified of all Board of Directors meetings and will serve the organization in any advisory role and perform other such assignment as requested by the President.

ARTICLE II - BOARD OF DIRECTORS

SECTION I - Powers - In addition to such powers as are specifically conferred upon it by the Constitution or by any By-Laws, the Board of Directors shall be responsible for the gel-ieral management of the Lindbergh Chapter affairs and may make such regulations as it deems advisable on inconsistencies with the Chapter Constitution and By-Laws.

SECTION II - (Questions of procedure shall be decided in accordance with Roberts' Rules of Order (latest edition).

SECTION III - The Board of Directors, may, at its discretion, meet in open or closed session.

SECTION IV - The minutes of the previous Board of Directors meeting shall be distributed to all Board members at, or prior to, the next scheduled Board of Directors meeting.

ARTICLE VIll - MEMBERSHIP FEES

SECTION I - Failure to pay National Association dues by 31 March in the year they are due is cause of loss of membership.

SECTION II - A membership shall commence upon receipt of paid application or renewal.

SECTION III - Local chapters are entitled to a one-time rebate of two dollars ($2.00) from the National Association for each new regular individual member that joins the Association from their area. Rebates are payable semiannually in April and November.

SECTION IV - Local chapters are entitled to a one-time rebate of ten percent (10%) of the annual dues for each new Business Member that is recruited by their membership.

SECTION V - Student chapters may be chartered at sponsoring educational institutions with ten (IO) or more student/regular members. It shall be the policy of the Lindbergh Chapter of AUVS to actively support he formation of new chapters,

ARTICLE IX – AMENDMENTS

SECTION I - These Chapter By-Laws may be amended with the concurrence of two-thirds (2/3) of the Members of the Board of Directors.

SECTION II - Members of the Board will be provided a copy of all proposed changes and given thirty (30) days after receipt to respond. Yeas and nays shall be recorded by the Secretarv, indicating each member's vote.

ARTICLE X – DISCIPLINE

SECTION I - Original Jurisdiction - Complaints against members shall be received and considered by the Board of Directors which shall investigate and act thereon. All complains shall be under oath.

SECTION II - Procedures - the Board of Directors shall notify in writing and afford a hearing to any member against whom a complaint is made. Such notice shall contain a statement of the nature of the charges made against such member. The member shall be afforded a fair trial in such manner and form as the Board of Directors shall prescribe.

SECTION III - No action shall be taken under this Article unless a vote of two-thirds (2/3) of the Board of Directors is obtained in favor of the procedure specified in Section 11. Also, no member shall be recommended to lose his membership unless the charges have been sustained by a two-thirds (2/3) vote of the Board of Directors. In all cases, proceedings and recommendations of the Chapter Board of Directors will be forwarded to the National Board of Trustees for its action, in accordance with the National Constitution and By-Laws.

SECTION IV - Appeals - Any member against whom any penalty is imposed by the National Board of Trustees has

the right to appeal to the general membership of the Association,

ARTICLE XI - INTERFACE WITH THE NATIONAL ASSOCIATION

SECTION I - The organization presently consists of the Association and Local Chapters, such as the Lindbergh Chapter. The National Constitution enables the designation of Regions, however, this phase has not been implemented to date. The Lindbergh Chapter will therefore interface directly with the National Association and its Board of Trustees on all business and policy matters.
